I am currently planning a 16th birthday party for January. It will either be a limo party or at a restaurant for a meal. There will be 8 – 10 girls if there is a limo, or 5 if there is a restaurant. I need some themes on what they should wear. I already have:

- Luminous socks and shorts
- Playboy bunnies
- Disney
- Princess
All these ideas are boring and I need a good one! So please help me!

Guyden V. Aetna: Sox Whistleblower Claims are Arbitrable
Background
In January 2004, plaintiff Linda Guyden joined Aetna as its Director of Internal Audit. She soon discovered that Aetna’s Internal Audit Department was “ineffective, demoralized, and without independence or objectivity.” Guyden v. Aetna, 544 F.3d at 379. Guyden claims that she was legitimately concerned that Aetna was in danger of violating the Sarbanes-Oxley Act of 2002 (“SOX”). SOX requires corporate officers to monitor internal controls for effectiveness and identify material weaknesses in those controls.
Guyden voiced her concerns, apparently repeatedly, to Aetna’s CFO and CEO. But in December 2004, a week before an Audit Committee meeting in which Guyden intended to discuss her concerns, she was fired. She filed an administrative complaint with the Secretary of Labor, alleging that Aetna fired her in violation of the SOX whistleblower protection, 18 USC section 1514A. That provision prohibits a public company from firing “an employee…because of any lawful act done by the employee… to provide information… regarding any conduct which the employee reasonably believes constitutes a violation of [federal securities law], when the information or assistance is provided to …a person with supervisory authority over the employee.” 18 U.S.C. section 1514A(a)(1)(C).
When the Secretary did not act on Guyden’s complaint within 180 days, she filed this action in federal district court. On Aetna’s motion, the district court dismissed the complaint and compelled arbitration pursuant to an arbitration agreement that Guyden had signed. Guyden v. Aetna, 2006 WL 2772695, No. 3:05CV1652, Sept, 25, 2006 (D. Conn. 2006).
On appeal to the circuit court, Guyden argued: 1) SOX whistleblower claims are inherently not arbitrable because arbitration would conflict with SOX’s purpose; and 2) the procedural requirements of this particular arbitration provision would inhibit her ability to fully preserve her statutory rights. The appellate court rejected Guyden’s arguments and affirmed the district court’s dismissal.
SOX whistleblower claims may be subject to arbitration
Guyden argued that the goals of Sarbanes-Oxley – to increase transparency and accountability in public markets – are at odds with the confidential, private nature of arbitration, and therefore, Congress must have intended that SOX whistleblower claims be non-arbitrable. She asserted that private arbitration would thwart SOX’s goals, by preventing a whistleblower from bringing potential violations to the public’s attention.
Citing the “liberal federal policy favoring arbitration,” the Second Circuit rejected Guyden’s position, stating that while the broader goal of SOX is to “strengthen the integrity of capital markets,” the specific whistleblower provision has a much narrower purpose. The court explained: “The primary purpose of the statute is to provide a private remedy for the aggrieved employee, not to publicize alleged corporate misconduct.” 544 F.3d at 383. The court said that the whistleblower provision “protects ‘employees when they take lawful acts to disclose information or otherwise assist… in detecting and stopping actions which they reasonably believe to be fraudulent.’” Id.
The court pointed in particular to the statutory requirement that a whistleblower need only “reasonably believe” that a company’s actions violated the law; she need not prove that the corporation committed fraud to prevail in her retaliation claim. Id. at 384. The court explained the significance of this: “The provision’s focus on the plaintiff’s state of mind rather than on the defendant’s conduct is inconsistent with what Guyden argues is the statutory purpose – to employ SOX retaliation litigation as a vehicle for publicizing corporate misconduct. It is far more consistent with a statutory purpose to provide a strong compensatory mechanism for employees subjected to adverse employment action as a result of their whistleblowing conduct.” Id.
The court therefore determined that SOX’s “compensatory scheme is entirely consistent with mandatory arbitration,” and agreed with the lower court that the claim is arbitrable. Id.
Guyden’s arbitration agreement is enforceable
Guyden argued that the confidentiality clause, brief summary provision, and limited discovery provision of her arbitration agreement would prevent her from fully vindicating her statutory rights. Id. The Court quickly dismissed Guyden’s attack on the confidentiality provision, noting the common use of such clauses in arbitration agreements – the court called Guyden’s argument “’an attack on the character of arbitration itself’” that “’rest[ed] on a suspicion of arbitration’” that was “’far out of step’” with the Courts’ view of arbitration. Id. at 385 (citing Gilmer v. Interstate/ Johnson Lane Corp., 500 U.S. 20, 30 (1991)).
The court similarly rejected Guyden’s challenge that the arbitration clause permitting the arbitrator to provide only a “brief summary of the arbitrator’s opinion” would prevent her from obtaining meaningful review of the arbitrator’s award. Guyden provided no basis for her assumption that the arbitrator would fail to apply controlling law, and the court rejected her assertion as unduly speculative. Id. at 386.
Finally, the Court acknowledged that unfair limitations on discovery might make the arbitration agreement unenforceable, but that concern did not apply to this agreement. In this case, Guyden was limited to one witness and one expert deposition, however, the arbitrator had the discretion to compel further discovery “upon a showing that it is necessary for that party to have a fair opportunity to present a claim or defense” and the FAA includes similar provisions. Id. at 386-387. These provisions safeguarded Guyden’s rights, and Guyden did not otherwise substantiate her assertion that the arbitrator might deny her necessary evidence. Accordingly, the court also rejected this argument.
Implications for employers
In confirming the court’s policy of favoring alternative dispute resolution, the Guyden opinion sends very positive message to employers who employ or seek to employ arbitration agreements. However, employers should pay close attention to the latter portion of the court’s opinion in particular, and make sure that the provisions of the arbitration agreement are not so strict as to limit the employee’s legal rights – if the agreement does not enable safeguarding of those rights, it may be found unenforceable.
